REFINERY29 RESERVE TERMS OF SERVICE FOR SALE OF VOUCHERS AND PRODUCTS

REFINERY29 may offer sales of vouchers or products through its website (the “Site”). The sale of vouchers and products (the “Services”) are subject to the following Terms and Conditions, as well as the Site’s standard Terms and Conditions and Privacy Policy.

SALE OF VOUCHERS

All vouchers purchased through REFINERY29 (hereinafter "Vouchers") are promotional vouchers that may be purchased from participating merchants ("Merchants") through REFINERY29 to be used in exchange for goods and services at a discount from their actual cost for a specified period of time. The purchase price of a Voucher shall be referred to herein as the "Cash Value". The date on which the promotional offer expires shall be referred to herein as the "Expiration Date". The value of goods and services for which a Voucher may be redeemed prior to the Expiration Date shall be referred to herein as the "Face Value".

By placing an order for a Voucher from a Merchant through REFINERY29, you make an offer to purchase the Vouchers you have selected on the terms and conditions stated below. For more information about our collection of personal information, please view our Privacy Policy. You are required to create an account in order to purchase any Voucher. This is required so we can provide you with easy access to print your orders, view your past purchases, modify your preferences, and to ensure permissible use of the Voucher.

The Voucher you purchase through REFINERY29 is redeemable for goods or services by the Merchant. The Merchant, not REFINERY29, is the seller of the Voucher and the goods and services and is solely responsible for redeeming any Voucher you purchase. REFINERY29 sells a Voucher that can be redeemed in connection with your purchase of the goods or services from Merchant.

1. Terms and Conditions for Vouchers

  • Unless otherwise specified by Merchant, Vouchers may be applied only to merchandise sold by Merchant, and may not be applied to shipping or handling charges.
  • Limit one (1) Voucher per redemption. Only one Voucher can be used per order unless otherwise specified by Merchant.
  • Each Voucher can only be redeemed through one transaction. After the Voucher has been redeemed on one transaction, the entire Face Value of the Voucher will expire.
  • The issuing of credit is at the sole discretion of the Merchant unless otherwise required by law or unless otherwise specified by Merchant.
  • Neither REFINERY29 nor the Merchant is responsible for lost or stolen Vouchers or Voucher's reference number.
  • Voucher cannot be combined with any other vouchers, third party certificates, coupons, or promotions, unless otherwise specified by Merchant.
  • Reproduction, sale or trade of this Voucher is prohibited unless done so in compliance with applicable law or unless otherwise specified by Merchant.
  • Any attempted redemption not consistent with these terms and conditions will render the Voucher null and void.
  • Void to the extent prohibited by law.

2. Additional Terms and Conditions Applicable to Vouchers

All Vouchers shall be subject to the terms and conditions of REFINERY29 and the participating Merchant. The Merchant is the seller of the goods or services which you are purchasing.

The holder and issuer of a Voucher is the Merchant. As a holder and issuer of the Voucher, Merchant shall be fully responsible for any and all injuries, illnesses, damages, claims, liabilities and costs suffered by or in respect of a customer, caused in whole or in part by the Merchant, as well as for any unclaimed property liability arising from unredeemed Vouchers or portions thereof. Vouchers may be redeemable in their entirety and on a one time basis only and may not be able to be redeemed incrementally.

If you redeem a Voucher for less than its Face Value prior to the Expiration Date, the Merchant will not be obligated to issue credit or cash for further redemption, either for the Face Value or Cash Value of the remainder of the Voucher.

Furthermore, certain Vouchers may cease to be redeemable even for their Cash Value after a certain date (the "Termination Date") beyond the Expiration Date. Please review the terms of the Voucher carefully to determine if the Voucher has a Termination Date. According to applicable law, the Merchant may be responsible for allowing you to redeem your Voucher for the Cash Value for a period of time that extends beyond the Termination Date on the Voucher. In other words, you should be allowed to redeem the Cash Value of your Voucher up until the greater of: (1) the Voucher's Termination Date; or (2) the minimum length of time allowed by applicable law for a Voucher to expire. Please contact the Merchant directly for all questions regarding the redemption of Vouchers.

YOU HEREBY WAIVE, EXCULPATE AND RELEASE REFINERY29 AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS FROM, ANY CLAIM, LIABILITIES, DAMAGES, OR INJURY ARISING FROM OR RELATED TO (A) ANY ACT OR OMISSION OF MERCHANT IN CONNECTION WITH A VOUCHER, (B) THE SERVICES/GOODS PROVIDED IN CONNECTION WITH ANY VOUCHER, (C) ANY CLAIM FOR UNCLAIMED PROPERTY RELATING TO THE REDEMPTION OF ANY VOUCHER OR ANY PORTION THEREOF, (D) ANY VIOLATION BY MERCHANT OF ANY LAW, RULE, REGULATION OR ORDER, OR (E) ANY BEACH OR ALLEGED BREACH BY MERCHANT OF THE TERMS AND CONDITIONS OF ANY VOUCHER.

SALE OF PRODUCTS

1. Terms and Conditions for Sale of Products

  • How It Works: Products created by participating Merchants in collaboration with REFINERY29 (“Products”) shall be available for purchase on the Site. REFINERY29 promotes and handles transactions for sale of Products. Product inventory will be held by either REFINERY29 or Merchant, depending on the particular sale terms for such Product. All sales of Products are subject to the sales period and quantity restrictions for each particular Product.
  • Payment Policy: REFINERY29 uses a third party to process payments for purchases that you make on this website. We are not responsible for their terms and conditions or for the security and privacy of any credit card or other personal information that you submit through them.
  • Shipping Policy: Shipping procedures for Products vary by sale. Please refer to the terms of an individual sale to determine applicable shipping procedures.
  • Delivery and Title: All sales are made EXW REFINERY29’s designated location, Incoterms 2010. Title and risk of loss or damage shall pass from REFINERY29 upon REFINERY29 putting the Products purchased hereunder in good condition into the possession of a common carrier. All claims for damages must be filed with the carrier. If a Product you receive is defective or damaged in transit, contact and we will work with you and the Merchant to resolve the issue.
  • Return Policy: All sales of Products are final, unless otherwise specified by Refinery29.
  • Privacy: We take your privacy seriously. Please review our Privacy Policy, which describes how we handle information about you. Remember, however, as stated above, we don’t actually do the payment processing, so you should refer to the terms and conditions of our provider for how they will handle your credit card and other important information.
  • Disclaimer of Warranties – WE PROVIDE THE SITE AND SERVICES “AS IS, AS AVAILABLE”, AND YOUR ACCESS OF THE SITE AND SERVICES ARE AT YOUR OWN RISK. WE DO NOT WARRANT THAT THE SITE OR OUR SERVICES WILL MEET YOUR REQUIREMENTS OR RESULT IN ANY PARTICULAR OUTCOME, OR THAT THE OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE. OUR SERVICES AND THE SITE ARE “AS IS” AND WITHOUT ANY WARRANTY OR CONDITION OF ANY KIND (EXPRESS, IMPLIED OR STATUTORY). TO THE FULLEST EXTENT ALLOWED BY LAW, WE SPECIFICALLY DISCLAIM ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, NON-INFRINGEMENT AND FITNESS FOR A PARTICULAR PURPOSE. SOME STATES DO NOT ALLOW THE DISCLAIMER OF IMPLIED WARRANTIES, SO THE FOREGOING DISCLAIMER MAY NOT APPLY TO YOU.
  • Liability Limitation – WE SHALL NOT BE LIABLE TO YOU FOR ANY SPECIAL, INCIDENTAL, INDIRECT, PUNITIVE OR CONSEQUENTIAL DAMAGES (EVEN IF YOU HAVE BEEN ADVISED US OF THE POSSIBILITY OF SUCH DAMAGES). OUR CUMULATIVE LIABILITY RELATING TO YOUR USE OF THE SITE (REGARDLESS OF ITS BASIS), SHALL NOT EXCEED THE AMOUNTS THAT YOU PAY IN CONNECTION WITH A PARTICULAR PURCHASE YOU MAKE FROM THE SITE.
